Welcome to The Marketplace (themarketplaceonline.com and the related mobile application, together the “Platform“), operated by The Marketplace Limited (“The Marketplace,” “TMPONLINE,” “we,” “us,” or “our“), a company operating in Nigeria.
These Terms and Conditions (“Terms“) govern your access to and use of the Platform. Please read them carefully. By creating an account, posting a listing, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. Eligibility
To use the Platform, you must:
- Be at least 18 years old, or the age of majority in your jurisdiction;
- Have the legal capacity to enter into a binding contract;
- Not be barred from using the Platform under applicable Nigerian law; and
- Provide accurate and complete registration information.
By using the Platform, you represent and warrant that you meet these requirements.
2. Nature of the Platform
The Marketplace is an online classified advertisements platform. We provide a venue for users to post, browse, and respond to listings for products and services. The Marketplace does not buy, sell, own, inspect, deliver, or take possession of any item or service listed on the Platform, and we are not a party to any transaction between users.
We do not process or facilitate payments between buyers and sellers for items or services listed on the Platform. All negotiations, payments, exchanges, and deliveries take place directly between users, entirely outside the Platform, and at the users’ own risk. The Marketplace has no control over the conduct of users, the quality, safety, or legality of listed items or services, the truth or accuracy of listings, or the ability of sellers to sell or buyers to pay.
Where we offer optional paid features (such as Featured Ads or Bump-Up Promotions to increase listing visibility, or subscriptions for stores), payment for those specific services is processed through a licensed third-party payment processor. This does not change the fact that transactions for goods/services between users remain independent of the Platform.
3. Account Registration
- You must register for an account to post listings, message other users, or access certain features.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify us immediately at support@iceo.com.ng if you suspect unauthorized use of your account.
- You agree to provide accurate, current, and complete information and to keep it updated.
- One person or entity may not maintain more than one account for fraudulent or abusive purposes. We reserve the right to suspend duplicate or fraudulent accounts.
4. Listings and Content
4.1 Your Responsibility
You are solely responsible for the content of any listing, message, profile information, or other content you post on the Platform (“User Content“). By posting User Content, you represent and warrant that:
- You own the item or have the legal right to sell/advertise it;
- The information in your listing is accurate, current, and not misleading;
- Your listing does not infringe any third party’s intellectual property, privacy, or other rights; and
- Your listing complies with these Terms and all applicable Nigerian laws.
4.2 Prohibited Listings and Conduct
You may not use the Platform to list, advertise, sell, or facilitate the sale of:
- Stolen goods or items obtained illegally;
- Counterfeit or pirated goods;
- Firearms, ammunition, explosives, or other weapons where prohibited by law;
- Illegal drugs or drug paraphernalia;
- Human beings, body parts, or organs;
- Endangered or protected wildlife and wildlife products;
- Items requiring a license or permit you do not possess (e.g., certain regulated goods);
- Fraudulent schemes, pyramid schemes, or “get rich quick” offers;
- Content that is defamatory, obscene, pornographic, hateful, discriminatory, or that promotes violence;
- Content that violates any applicable Nigerian law, including but not limited to the Cybercrimes (Prohibition, Prevention, etc.) Act and other relevant legislation; or
- Any other item or service we deem inappropriate, illegal, or harmful, in our sole discretion.
You also agree not to:
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Use the Platform to harass, threaten, defraud, or scam other users;
- Scrape, data-mine, or use automated means to access the Platform without our written permission;
- Interfere with or disrupt the Platform’s operation, servers, or networks;
- Circumvent any security or access-control measures; or
- Post spam, unsolicited advertising, or duplicate/repetitive listings outside our posting guidelines.
4.3 Content License
By posting User Content, you grant The Marketplace a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and adapt that content solely for the purpose of operating, promoting, and improving the Platform (for example, displaying your listing to other users or featuring it in promotional material for the Platform). You retain ownership of your content.
4.4 Content Removal
We reserve the right, but have no obligation, to review, monitor, edit, or remove any listing or User Content, at our sole discretion and without notice, if we believe it violates these Terms, applicable law, or is otherwise objectionable.
5. Fees and Paid Services
- Basic listing and browsing on the Platform may be offered free of charge, subject to change at our discretion with notice.
- Optional paid features, such as Featured Ads, Bump-Up Promotions, or store subscriptions, are subject to the fees displayed at the time of purchase.
- All fees for paid features are processed via a third-party payment processor and are non-refundable except as required by law or as expressly stated at the time of purchase.
- We reserve the right to change our fees for paid features at any time, with reasonable notice posted on the Platform.
6. User Conduct and Safety
The Marketplace is a venue for advertisements only. We strongly encourage all users to exercise caution when dealing with other users, including:
- Meeting in safe, public locations for in-person exchanges;
- Verifying the identity of the other party where possible;
- Inspecting items thoroughly before completing any payment;
- Never sending money in advance for items not yet received or inspected, especially to unknown parties;
- Being alert to common online scam tactics (e.g., requests for upfront payment, prices that seem “too good to be true,” pressure to act quickly, or refusal to meet in person).
The Marketplace is not responsible for any loss, damage, fraud, or dispute arising from interactions, transactions, or exchanges between users, whether conducted on or off the Platform.
7. Reporting and Enforcement
If you encounter a listing, message, or user that violates these Terms or appears fraudulent, please report it to us at support@iceo.com.ng. We may, at our sole discretion:
- Remove or suspend the relevant listing or content;
- Warn, suspend, or permanently terminate the responsible user’s account;
- Cooperate with law enforcement where we reasonably believe illegal activity has occurred; and
- Take any other action we deem appropriate to protect the Platform and its users.
8. Intellectual Property
The Platform, including its design, logos, trademarks (“The Marketplace,” “TMPONLINE,” and related marks), graphics, software, and other content (excluding User Content), is owned by or licensed to The Marketplace Limited and is protected by Nigerian and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform, nor reverse-engineer or attempt to extract the source code of our software, except as permitted by law or with our prior written consent.

9. Third-Party Links and Services
The Platform may contain links to third-party websites, applications, or services (including payment processors and social media pages) that are not owned or controlled by us. We are not responsible for the content, policies, or practices of any third-party sites or services. Your use of third-party services is at your own risk and subject to their own terms and privacy policies.
10. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
- THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY.
- WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY LISTING, USER, OR CONTENT ON THE PLATFORM IS ACCURATE, RELIABLE, LEGITIMATE, OR SAFE.
- WE MAKE NO WARRANTY REGARDING THE QUALITY, SAFETY, LEGALITY, OR DELIVERABILITY OF ANY ITEM OR SERVICE LISTED, ADVERTISED, OR EXCHANGED THROUGH THE PLATFORM.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE MARKETPLACE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO:
- YOUR USE OF OR INABILITY TO USE THE PLATFORM;
- ANY TRANSACTION, INTERACTION, OR DISPUTE BETWEEN USERS;
- ANY LISTING, USER CONTENT, OR CONDUCT OF ANY USER, WHETHER ONLINE OR OFFLINE;
- ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; OR
- ANY OTHER MATTER RELATING TO THE PLATFORM,
WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) FIVE THOUSAND NAIRA (₦5,000).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Nigerian law.
12. Indemnification
You agree to indemnify, defend, and hold harmless The Marketplace Limited and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:
- Your use of the Platform;
- Your User Content or listings;
- Your violation of these Terms or any applicable law; or
- Your interaction or transaction with any other user.
13. Account Suspension and Termination
We may suspend or terminate your account, with or without notice, at our sole discretion, if we reasonably believe you have:
- Violated these Terms or our posting guidelines;
- Provided false or misleading information;
- Engaged in fraudulent, abusive, or illegal activity; or
- Created risk or possible legal exposure for The Marketplace or other users.
You may also deactivate or delete your account at any time by contacting support@iceo.com.ng. Upon termination, your right to use the Platform will immediately cease, although provisions of these Terms that by their nature should survive termination (including Sections 8, 10, 11, 12, and 15) will continue to apply.
14. Changes to the Platform and These Terms
We may modify, suspend, or discontinue any part of the Platform at any time without liability to you. We may also revise these Terms from time to time. We will post the updated Terms on this page with a revised “Last Updated” date, and material changes will be communicated through the Platform or by email where appropriate. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or your use of the Platform shall first be addressed through good-faith negotiation by contacting support@iceo.com.ng. If the dispute cannot be resolved informally within a reasonable time, it shall be subject to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria.
16. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and The Marketplace regarding your use of the Platform.
- Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
- No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
- Relationship of Parties: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and The Marketplace.
- Force Majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, internet or telecommunications failures, government actions, or acts of war or terrorism.

By using The Marketplace, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
